Clariant completes share acquisition

Clariant AG has announced that it has acquired with full legal effect the blocks of shares held by SC-Beteiligungsgesellschaft mbH (One Equity Partners/50.41%) and by the so-called long-standing shareholders (45.74%) of Süd-Chemie. Following approval by the EC competition authorities on 11 April 2011, acquisition of the shares was still subject to completion of a capital increase on the part of Clariant to finance the transaction. As of 21 April 2011, Süd-Chemie has become a member of the Clariant Group

Clariant AG holds a total of 96.15% of all Süd-Chemie shares. These will be supplemented by shares transferred to Clariant within the scope of its tender offer. The Swiss company is to make a tender offer to all minority shareholders which must first be submitted to Germany´s Federal Financial Supervisory Authority (BaFin). Following review and approval by BaFin, the offer will be published and Süd-Chemie´s Managing Board and Supervisory Board will subsequently issue a relevant statement.
